By these conditions we or we mean AIA Australia Limited (ABN 79 004 837 861, Level 6, 509 St Kilda Road Melbourne VIC 3004) and its staff, representatives, contractors and related entities (but not our affiliates in the AIA Vitality Program) and you mean the individual who purports to be, to be, to be or to have been an AIA Vitality Member (and, if you are under 18 years of age, your parents or guardian).

In order to become an AIA Vitality member, you must: You may be permitted to become an AIA Vitality member if, in our sole judgment, you do not satisfy the above requirements. We may terminate or terminate your subscription if we find that you no longer satisfy any of the above conditions. AIA Vitality can only be one member at a time--

Should you wish to make a difference, please let us know by using the AIA Vitality member information you provided when you first signed up (or by contacting us and we can address your request to the appropriate person). In the event that you decide to modify your opinion after the cooling-off lapse, you may terminate your AIA Vitality membership in accordance with Section 9.1.

AIA Vitality Program (including the information and material provided by the AIA Vitality Program) has been designed with adults AIA Vitality Members in mind and may not be appropriate for you. AIA Vitality Program membership is at your own peril. Consumers, as well as those under the ages of 18, should seek expert guidance from a physician or other appropriate healthcare provider before entering the AIA Vitality Program.

AIA Vitality Program may, at our own and complete option, include various AIA Vitality Program member classes, each of which may include a different set of AIA Vitality member activity and benefit classes. Acknowledging that the Member Site may not be available at all hours and that we may not be held responsible to you if the Member Site is unavailable.

AIA Vitality Program is designed for member years. AIA Vitality Program provides a number of activites and advantages for AIA Vitality members. The AIA Vitality Program is your option. AIA Vitality allows you to choose which of your AIA Vitality member services and advantages you would like to take part in or take advantage of.

Only as an AIA Vitality Member you are authorized to use the AIA Vitality Program. You may not transfer or permit any other individual to use any activities or benefits except as expressly allowed in the Performance Leader or the General Agreement Rules for that activities or benefits, and you must take appropriate action to make sure that no one else uses your AIA Vitality subscription;

If you know or believe that your AIA Vitality membership data has been used, lost or stolen without authorization, you must immediately inform us. Unless you have completed these actions in advance of the AIA Vitality Membership Data being used, you are responsible for all AIA Vitality Member Data related activities.

Do not use your AIA Vitality membership for any unlawful purpose that is improper, offensive, or deceptive. AIA Vitality may take measures to monitor the proper use of your AIA Vitality membership. AIA Vitality Program allows you to take certain actions to help you better assess your level of fitness and well-being.

AIA Vitality Points can be credited to you for these outings. For more information on these endeavours, please visit the Member Information Centre. In order to earn or recieve points for an action or service, you may need to give us or one of our affiliates your AIA Vitality membership number and other information about yourself.

Failure to supply the information that we or any of our affiliates need may prevent you from earning or collecting points for the opportunity or service. They take over the responsibilities at their own peril. Do your best to take part securely in the activity and prevent damage to yourself. AIA Vitality Program offered activity is not intended to be counselling or a replacement for counselling or curative care. AIA Vitality Program and, if necessary, you should seek expert consultation or care from a physician, chemist, or other appropriate healthcare provider regarding your individual conditions and any problems with your physical or mental well-being, regardless of the AIA Vitality Program.

The information and materials provided under the AIA Vitality Program may not be updated to reflect the latest knowledge or development and are not specifically designed for any particular individual. Certain activity may not always be available at certain places or for certain ages. Please if you have comments about the available opportunities, please feel free to get in touch with us and we can address any of your issues when we revise and make changes to the AIA Vitality Program in the near-term.

You may be required to make a payment to us or our affiliate, as indicated on the Member' s site or the affiliate website, or sign a deal with our affiliate in order to carry out certain activity. Neither you nor the affiliate or you and the physician or healthcare provider are involved in any agreement and we assume no responsibility in relation thereto.

AIA Vitality Points can be earned through your actions. The AIA Vitality Points are forfeited at the end of each year. For the number of AIA Vitality Points you earn for an event, and information about how we earn and allocate points, visit the Member Dashboard. Please understand that we may alter the number of points assigned to an Action or the way we allocate or charge points from period to period.

Number of points you can earn may differ from number of other AIA Vitality members and depends on a number of different things, such as the type of exercise you perform, your overall healthcare objectives and risks, and the conditions of your fitness (including your fitness category); we may customize the number of points you can earn for each exercise based on your personal fitness level or how important the exercise is for your fitness level; certain types of exercise or types of exercise may have limitations on how many points you can earn in a certain amount of space of time;

Number of AIA Vitality Points you have at any given moment is available on the Member Dashboard. AIA Vitality Points will upgrade your account as soon as possible, but there may be a slow down in your account process. Visit the Member Dashboard periodically to verify that your AIA Vitality Points credit and AIA Vitality status are accurate.

AIA Vitality Point numbers and your AIA Vitality status displayed on the Member Site shall be deemed accurate unless modified in accordance with Section 4.4. Within the scope of your AIA Vitality subscription you will receive an AIA Vitality Status. AIA Vitality Status is the number of AIA Vitality Points you earn in any given member year, as stated on the Member Gateway.

AIA Vitality may alter your eligibility for certain activity and services as described in the Member' s Guide and Service Guide. Please feel free to email us if you believe your AIA Vitality Points account or AIA Vitality Level is inaccurate. AIA Vitality Points will check your AIA Vitality Points account and AIA Vitality Level and consider any extra proof you provide to us to see if there should be any adjustments to your account or level.

At the first end of each year: on the first of every year:: AIA Vitality Points will be zeroed. AIA Vitality status is calculated from the number of AIA Vitality Points you hold on the last date of the immediately previous year ( if there was a previous year).

The AIA Vitality Points are a way to measure your attendance and your improvement in the AIA Vitality Program. The points lapse at the end of your member year and at the end of your AIA Vitality year. AIA Vitality Program provides members with a number of advantages such as coupons, rebates, refunds, bonuses and other items and service that we or our affiliates offer from period to period.

There may be some advantages available to you before you earn AIA Vitality Points or engage in any activity. Once you stop being a member of AIA Vitality or violate these conditions, you are no longer eligible for services. We may, at our sole option, discontinue, withdraw, suspend or discontinue the provision of services.

If you do not take any measures to make use of them, some services may be discontinued. You will forfeit your right to this service if we specify a period of your use of the service or if you otherwise specify measures that you must take in respect of the service and you do not do so.

Certain advantages may not be available to all members or at all time or in certain places or for certain ages. Please if you have received positive comments about the available advantages, please feel free to get in touch with us and we can address any concern when we evaluate the AIA Vitality Program and make changes in the near term.

Service guidelines, regulations and other information available on the Member Gateway contain further requirements that apply to each service. When you decide to gain or use a Service, you are subject to these Supplementary Services User Agreement. To receive some advantages, you may have to make a payment to us or our affiliate as indicated on the Member portal or the affiliate website, or sign a deal with our affiliate.

There is no agreement between you and the affiliate and we assume no responsibility in this regard. A number of our affiliates offer certain types of activity and advantages, and you can purchase goods or provide certain types of service from one of our affiliates. You may be charged an annual membership fee for your AIA Vitality membership, dependent on the AIA Vitality membership class to which you fall (which can be defined by your qualifying criteria).

Generally, an annual membership fee is to be paid if an AIA Vitality membership is acquired as a supplement to an AIA Australia annuity. If an annual subscription is applicable to you, we may arrange with your employers or other third parties to either remit your annual subscription to us on your account or forego your annual subscription (at our discretion).

Our full amount of the full subscription is payable annually or periodically using our authorized method of paying. If periodical repayments are made, each periodical repayment is an installment of the yearly subscription for your actual year.

AIA Vitality membership will expire if we do not get an additional fee within 60 working days after the due date of the annual membership fee (grace period). Their AIA Vitality Membership, AIA Vitality Points and AIA Vitality Status will stay in effect during the transition time.

In the event that we obtain a non-refundable AIA Vitality Membership fee or an amount in excess of the annual Membership Fee to be paid, we may withhold such amount (to the fullest legal extent) from and set it off against any subsequent AIA Vitality Membership fee.

The AIA Vitality Program is subject to these conditions, which include the AIA Vitality Program activity and advantages available to you as part of your AIA Vitality membership. While we may modify any part of these conditions or the AIA Vitality Program from-time to time, we will endeavor to keep you reasonably informed of any changes we make.

For a copy of the latest AIA Vitality Program General Business Agreement and the latest AIA Vitality Program policies and information, please visit the Member Pages or contact us. Changes may be made from the time to again for any reasons, even in reaction to your responses, as a consequence of changes in our relationships with our affiliates and to enhance or enhance the AIA Vitality Program.

We may, for example, change: our affiliates (including but not limited to, creating, deleting, or substituting affiliates); our operations (including but not limited to creating, deleting, or substituting affiliates); our assets (including but not limited to creating, deleting, deleting, or modifying the manner in which an operation is performed); our policies and procedures (including but not limited to the Member Site or the manner in which you use or access your AIA Vitality Membership); the AIA Vitality Program policies and procedures (including for each of you, the Member Program policies and procedures); the AIA Vitality Program policies and procedures (including for each of you, the Member Program policies and procedures); the AIA Vitality Program policies and procedures); the AIA Vitality Program policies and procedures (including for each of you, the Member Program policies and procedures); the AIA Vitality Program policies and procedures).

Unless you wish to make changes to these conditions or the AIA Vitality Program, please do not hesitate to email us to review them. Alternatively, you may use your right to cancel your AIA Vitality membership and this Memorandum of Understanding pursuant to Term 9. AIA Vitality membership can be terminated by calling us during our office hours to learn the information provided to you when you first became an AIA Vitality member.

When applying for an annual membership fee for your AIA Vitality membership, it may take up to 15 business day for your planned annual membership fee to be cancelled. Upon expiration of your cooling-off phase, we may rescind your AIA Vitality membership (in whole or in part, inclusive of your entry and your right to use one or more of the AIA Vitality Memberships or benefits) if the annual membership fee (if any) or other charges due to us or any of our affiliates are not settled by the due date.

AIA Vitality may also cancel your AIA Vitality membership at any point in the future if: we have reason to believe that you have used your AIA Vitality membership for unlawful activities in a way that is improper, likely to cause offence to others, or involving fraud; you have violated these conditions substantially; you have continued to violate these conditions upon receipt of notification from us; or you have violated these conditions in a number of cases.

AIA reserves the right to discontinue, suspend or discontinue the AIA Vitality Program (in whole or in part) at any point in our sole discretion and does not warrant that the AIA Vitality Program will be continued for an indefinite period of your use or that it will be maintained or controlled by us. In the event your AIA Vitality Membership is cancelled for any cause, you will no longer be authorized to use your AIA Vitality Membership Number or use the AIA Vitality Program, Member Site, or the AIA Vitality Membership activity and services (including any discount on your qualifying membership policy) available to AIA Vitality Members.

If an AIA Vitality membership is terminated during the cool down phase and payments of the membership fee are made, the membership fee will be reimbursed. When your membership fee is payable on an annuity or semi-annual base, we will reimburse the part of the amount for an annuity that will be payable to us in anticipation (if any) prorated for each full months left after the cessation of your AIA Vitality membership.

When your annual subscription is made on a month to month payment, your annual subscription will no longer be due and we will void all planned annual subscription payment in the 15 day period following the end of your AIA Vitality membership. If you are unable to make a refund, you may be eligible for any refund you may have received, less any applicable charges due to us, provided that the service in question is provided in accordance with the applicable law.

Every treaty or arrangement you have with our affiliates may continue to exist (subject to the respective affiliate policy provisions inclusive of termination period), but may be amended (including possibly higher tariffs). Under no circumstances are we liable for any relationships you maintain with our affiliates outside of your AIA Vitality membership, or for any further relationships you may have with our affiliates after termination of your AIA Vitality membership.

Under certain circumstance and to the extent allowed by the specific terms of your AIA Vitality Membership, we may arrange to terminate your AIA Vitality Membership for a specified term. When your AIA Vitality membership is terminated, your AIA Vitality membership will be handled in accordance with Term 9. Article 10 provides only a brief outline of how we gather, use, process and share personal information in relation to the AIA Vitality Program.

Personal information is processed and collected for uses that involve administering your AIA Vitality membership, delivering our goods and service, doing our business, performing statistics, conducting research and reports, and for other uses described in our Privacy Notice. When you provide us or your account manager (and the merchant or agent it represents ), a AIA Vitality distribution partner, the fiduciary or manager of a pension funds, or any other agent or agent (such as your employers or the owner of your qualifying policies ) with information or continue and otherwise interact with us, you acknowledge that you are disclosing the issues and consents to the gathering, use, disclosures and processing of personal data as described in the AIA Australia Privacy policy contained in the AIA Vitality Privacy Statement, which is available on AIA Australia's website at

AIA Vitality may gather and share your personal information with our affiliates and other activity vendors (including, but not restricted to, dieticians, chemists and trainers) and services (including, but not restricted to, the administrator and rebate, refund and reward vendors) under the AIA Vitality Program.

This will only be done to the degree necessary for the implementation of the AIA Vitality Program (e.g. if you decide on an action or use an available benefit). AIA Vitality may disclose insensitive information to your account executive (and the merchant or agent it represents), the reseller of your AIA Vitality membership, the fiduciary or manager of your pension funds, or your agent or agent (such as your employers or the owner of your qualifying policies ) (if applicable), and our affiliates and re-insurers.

We may, for example, disclose your name and member number, your AIA Vitality Points credit or AIA Vitality Status, the activity you have performed, the advantages you have enjoyed, or the affiliates you have used. If we have reached an agreement to the contrary with the sales partner of your AIA Vitality member, the fiduciary or manager of your pension scheme or your agent or agent (e.g. your employer), this clause shall not be applicable.

If you have or are an entitled party to an AIA Vitality Membership Assurance Plan and are providing us with healthcare and health-related information relating to your AIA Vitality Membership, we will take measures to make sure that the information you are providing us with relating to your AIA Vitality Membership is kept apart from the AIA Australia Property and Casualty Divisions that will be liable for making our subsequent property and casualty assessment choices.

Please be aware, however, that if you hire a healthcare provider or other healthcare provider to perform an AIA Vitality Program event, the healthcare provider may obtain information about that event and keep a record of it as part of your clinical file. AIA Australia shall not be assumed to have information about the AIA Vitality Program with regard to its endorsement and damage features to the fullestest extent permissible by applicable laws.

What legislation applies to these concepts? This Agreement shall be construed in accordance with the law of Victoria, Australia. By submitting to this Agreement, you consent to the exclusive and exclusive venue of the Victorian and Australian Courts in all matters relating to this Agreement. AIA Vitality Program membership is at your own peril. To the fullest degree permissible by applicable statute, you hereby consent that we (including our officers, representatives, contractors and affiliates ), our affiliates and suppliers shall not be held responsible for any injuries, losses, damage, claims or costs suffered or incurred by you or any other individual as a direct or consequential consequence of your membership in the AIA Vitality Program.

You may be notified of changes to these conditions and we may otherwise communicate with you in relation to the AIA Vitality Program by communicating with you in any of the following ways and with the information you provide: pop-up notices or other notices about the AIA Vitality mobile use. In the event that a judicial authority determines that any portion of these Conditions is void or unenforceable, that portion shall be removed from these Conditions.

Notwithstanding anything in these conditions will restrict, exclude, modify or limit your right under the Australia Consumer Act. Each AIA Vitality trip is one-of-a-kind, so your experiences may differ from those of another AIA Vitality member. There is no way we can indicate or warrant the experiences or results a person obtains by taking part in the AIA Vitality Program.

The information provided in relation to the AIA Vitality Program is only general information, regardless of a person's goals, finances, needs or personally identifiable information. Our non-performance or default in the exercise of any right or remedy hereunder shall not be deemed a waiver of any right or remedy hereunder or a waive of any other right or remedy. 2.

In the event that we partly execute a right or an appeal under these conditions, we shall not be hindered from further executing the right or the appeal or from executing another right or another appeal. This Agreement is between you and AIA Australia only and is not otherwise enforceable. AIA Australia will not be liable for any damages arising out of or in connection with this Agreement.

Agreement and understanding between us and our affiliates is for AIA Australia and each affiliate personally and will not be enforced by any AIA Vitality member or other individual.
